This agreement is between Chengdu Kenpai Technology Co., Ltd. (hereinafter referred to as "Kenpai Technology") and/or the domain registrar it represents and you, either on your own behalf or on behalf of the domain holder, regarding relevant matters.

When you apply for domain registration/renewal through the Kenpai Technology website, transfer a domain from another registrar to Kenpai Technology, or use other Kenpai Technology domain services, you need to confirm and accept this agreement by directly confirming on the web page, accepting the link and prompts provided here, signing a written agreement, using the service, or any other method recognized by laws and regulations or conventions. Once you confirm this agreement in any of these ways, it means that you have reached a domain service agreement with Kenpai Technology and understand and agree to all terms of the agreement. Therefore, before accepting this agreement and enjoying our domain services, please read the entire content of the agreement carefully, especially the limitations and disclaimers, determination and handling of violations, and choice of jurisdiction court, which will be highlighted with underlines for your attention.

If you do not understand the content of the agreement, please consult Kenpai Technology; if you do not accept any part of this agreement or cannot accurately understand the interpretation of the terms, please do not proceed with subsequent operations.

I. Definitions and Interpretations

1. Our Registrar ("We"): Chengdu Kenpai Technology Co., Ltd., brand name: Kenpai Technology, is a domain registrar that accepts user entrustments and provides domain services through self-operation, partner technology interfaces, and platforms.

2. User ("You"): In this document, it refers to individuals or organizations that apply for domain registration, renewal, redemption, etc., through the domain services provided by our registrar at the relevant domain registration management institution.

3. Registered Domain Holder: The holder of the registered domain as filled out by the user during domain registration and displayed via WHOIS information. Under certain circumstances, the registered domain holder may also be referred to as the "domain owner," but such terms do not represent any ownership or similar rights over the registered domain, nor can the domain holder obtain such rights from these terms.

4. Account Holder: An individual or organization that owns a member account with us, who pays for the registered domain or manages the registered domain in other ways, even though they are not the registered domain holder.

5. Internet Corporation for Assigned Names and Numbers (ICANN): The organization responsible for the allocation of IP address space, assignment of protocol identifiers, management of generic top-level domains and country-code top-level domains systems, and management of root server systems.

6. China Internet Network Information Center (CNNIC): The domain registration management institution and root server operation institution for domestic Chinese domains ending with ".CN", ".中国", ".公司", ".网络".

7. Domain Registry: An organization or institution licensed by ICANN and/or the relevant management institutions of the country (such as obtaining permission from telecommunications management institutions in China) to operate and manage the corresponding top-level domain.

8. Domain Registrar: An institution licensed by ICANN and/or the relevant management institutions of the country (such as obtaining permission from telecommunications management institutions in China) to accept domain registration applications and complete domain registrations in the top-level domain database of the corresponding domain registry.

9. Top-Level Domain (TLD): Refers to the top-level domain of the Internet domain system, including generic top-level domains (gTLD), country code top-level domains (ccTLD), new generic top-level domains (new gTLD), internationalized domain names (IDN TLD). Different domain registries are responsible for operating and managing the corresponding top-level domains.

10. Domain Registration: Refers to the act of applying for domain registration through the channels and services provided by the domain registrar in the top-level domain database of the corresponding domain registry.

11. Successful Domain Registration: Refers to the situation where the user has paid the corresponding domain registration fees within the specified period, provided the required application materials for domain registration, and the corresponding domain registry confirms that the applied-for domain does not have a prior identical domain registration, does not violate mandatory domain registration rules, and the submitted application materials meet the requirements, thereby granting the user the right to hold the domain for a certain period. The confirmation of whether the domain is successfully registered lies with the domain registry.

12. Registration Data Directory Service (WHOIS): A service provided by registrars according to ICANN requirements and consensus policies, following the specifications of the 2013 ICANN Registrar Accreditation Agreement, for querying, displaying, and disseminating domain registration information.

13. Illegal Activities: Refers collectively to acts of registering a domain using the services provided by the domain registrar in violation of relevant laws and regulations, and/or using the registered domain to carry out activities that violate relevant laws and regulations.

14. Domain Services: The domain-related services explicitly listed in Article 2 of this service agreement or subsequently provided by our registrar.

15. Third-party Services: Services related to registered domains provided by third parties, such as domain dispute resolution services, domain parking services, domain display, and domain trading.

16. Domain Dispute Resolution Mechanism: Refers collectively to the policies and rules for resolving disputes arising from domain registration and use, including but not limited to the Uniform Domain Name Dispute Resolution Policy (UDRP), the Uniform Rapid Suspension System (URS), the China Internet Network Information Center National Top-Level Domain Dispute Resolution Measures, and corresponding procedural rules, supplementary rules, etc. Depending on the type of top-level domain (such as gTLD, ccTLD, new gTLD, etc.), the applicable domain dispute resolution mechanism applies, for example, gTLD domain disputes should follow UDRP policy.

17. Terms such as "China," "this country," and "domestic" in this service agreement refer to the People's Republic of China.

18. Unless otherwise specified, the term "law" in this service agreement refers to the collective term for laws, regulations, and normative legal documents of the People's Republic of China.

19. "Working days" in this service agreement refer to normal working days excluding statutory holidays, public holidays, and bank holidays in China. "Working hours" refer to the time between 9:00 AM and 6:00 PM (GMT+8) on working days.

II. Content of Domain Services

1. Scope of Services

1) We provide you with the following domain services based on your needs: domain registration, domain renewal, domain transfer between registrars, change of domain registrant information, domain redemption, and other domain services.

2) We also provide the necessary platform, channel, system, and related technical support, pre-sales and after-sales consultation services required for these services.

2. Service Period

1) Service Start: We begin providing services once we receive your valid application/confirmation and complete all fee payments, for example, we submit the domain registration/renewal/redemption application to the corresponding registry only after receiving your payment for the registration/renewal/redemption application and fees. The confirmation of the service result rests with the registry, therefore, successful payment does not mean that the domain registration/renewal/redemption application has been successful.

2) Determination of Service Term: The service term starts from the day you successfully register the domain through us or successfully transfer the domain to us, and the service term length is determined based on the years you pay for the domain. The service term ends on the expiration date of the domain.

3. Service Termination

The domain services provided by us terminate under one of the following conditions:

1) You transfer the domain to non-Kenpai Technology domain servers/other domain registrars.

2) You fail to renew the domain before its expiration, resulting in service termination due to domain expiration;

3) Your entity ceases to exist or dies without heirs;

4) We cancel the domain upon your request for domain cancellation;

5) We terminate the service if we find that you obtained the domain through deception, concealment, or other illegal means, or severely violated the terms of this service agreement;

6) We terminate the service based on rulings/notifications from competent authorities/judicial bodies (such as courts, domain arbitration institutions, domain management institutions, domain registries, etc.);

7) We terminate the service based on prudent judgment if you engage in actions that infringe on others' rights or violate national/local laws and regulations;

8) After the service ends, Kenpai Technology is not responsible for retaining user data, information, etc.

9) After the effective service period ends, if both parties wish to continue cooperation, they agree to negotiate new prices and terms separately according to the then-effective conditions.

4. Service Results

1) You understand and agree that the success of domain services is determined by the application itself, its timing, and other factors, and is confirmed by the domain registry. We only act on your behalf to submit relevant procedures and do not guarantee in any express or implied way that your applied-for domain service will definitely be successful, or that it will not be deleted or revoked after a successful application.

2) We have the right, based on prudent judgment, to take appropriate measures according to ICANN policies, domestic laws and regulations, instructions from competent authorities, and the terms of this service agreement, for illegal acts during your use of domains, including requiring you to make rectifications, locking the domain (i.e., prohibiting information changes, prohibiting transfers out of registrar, prohibiting account transfers, etc.), suspending services (hold), deleting or revoking the domain.

3) If users have objections to Kenpai Technology's independent judgment, they can contact Kenpai Technology for secondary verification and handling. The maximum responsibility of Kenpai Technology is to restore the service. Except for this, no other responsibilities are assumed.

5. Domain Registration Service

1) Domain registration service: You apply for domain registration through our provided channels, submitting required documents and entrusting us to submit the domain registration application and pay fees on your behalf to the corresponding domain registry.

2) Successful domain registration means that the domain you applied for has been confirmed by the domain registry: there is no prior identical domain registration, no violation of mandatory domain registration regulations, and within the specified period, we have received payment of domain registration management fees and compliant domain application materials from you. The domain registry grants you ownership of the domain for a certain period. Confirmation of whether domain registration is successful lies with the domain registry; checking availability and successful payment does not guarantee successful registration.

3) Our platform's business logic involves completing customer domain registration applications through technical means, all falling under the scope of domain registration services (such as domain pre-registration, offline registration, bulk registration services).

4) You understand and agree that the final confirmation of whether a domain is successfully registered rests with the registry. We only act on your behalf to submit relevant procedures and do not guarantee in any express or implied way that your applied-for domain will be successfully registered or not deleted after registration.

5) If your registration application encounters any of the following situations, leading to the failure of domain registration, we will refund the registration fee collected for this registration commission (except for cases where the domain registry stipulates no refund). Apart from this, we do not assume any other responsibilities.

- The domain is registered by another party while the user is filling out the domain registration application form online;

- Due to telecommunications line and equipment issues, the domain is registered by another party;

- The user fails to strictly adhere to registration requirements when filling out the registration application form, or fills it out incorrectly or improperly, resulting in the domain being registered by another party or causing ownership disputes;

- The user fails to submit domain registration materials within the specified time frame, or fails to submit written proof materials as required by the registry, or the submitted proof materials do not meet the requirements of the domain registry;

- Registration failure or delay due to system failures or operational errors of the domain registry or our company;

- Cancellation of the registration service for the corresponding top-level domain due to national laws, regulations, policies, changes in domain registry policies, technical reasons, etc.;

- The domain is registered by another party between the time the user accepts these terms and the time we receive your payment and pay the domain registry;

- The registration materials submitted by the user are deemed non-compliant by the domain registry, resulting in unsuccessful registration or subsequent cancellation after successful registration;

- The domain applied for by the user falls within the scope of domains prohibited or restricted from registration by national laws, regulations, and policies;

- The domain applied for by the user falls within the scope of domains restricted from registration by ICANN or the registry;

- Other factors that lead to unsuccessful domain registration due to unforeseeable or uncontrollable circumstances on our part.

6) Before confirming with us, you should not judge the result of domain registration and further claim that you or a third party is the domain registrant or applicant. Any disputes or lawsuits arising from this shall be borne by you.

7) Whether a registered domain can be used normally (such as domain parsing, building websites/email servers, etc.) is affected by the management behavior of relevant countries, regions, laws, and domain management institutions. Therefore:

1- You should independently determine whether to apply for the domain registration and whether the domain registration meets your needs;

2- Our relevant pages will provide explanatory prompts, but we do not guarantee that the domain you register will be able to function normally. We also do not assume any consequences or liabilities except as expressly required by law.

3-If we provide a temporary information template, you understand and agree:

1. The temporary information template is a functional adjustment made due to special requirements by the registry and is not a service that we are obligated to provide. We have the right to enable, disable, or adjust this feature based on actual circumstances without prior notice;

2. You should be aware that if a domain uses a temporary information template, it means the domain has not completed real-name verification. According to relevant Chinese laws, after using the temporary information template, you must promptly complete the real-name verification with your true, accurate, and complete information. You must also update the information when changes occur. Any losses or liabilities resulting from incomplete real-name verification, false information, or untimely updates will be borne entirely by you.

3. If a domain uses a temporary information template and a dispute arises (including but not limited to arbitration, litigation, etc.), as the actual holder of the domain, you are obligated to actively respond upon receiving notification. Any losses resulting from your failure to respond actively will not be our responsibility.

4. If your domain encounters issues such as disputes, arbitration, litigation, violations, cancellation, etc., and we are unable to notify you through the domain registration information, we have the right to take actions such as suspending, canceling, returning, or transferring the domain according to relevant regulations. Any losses and liabilities arising from these actions will be borne by you.

5. If your domain encounters issues such as disputes, arbitration, litigation, violations, cancellation, etc., or if we close, suspend, or adjust the temporary information template function, and if your account already has other real-name verified information, we have the right to directly transfer the domain to another real-name verified information template under your account.

6. Any losses incurred to you or third parties due to your use of the temporary information template for domain registration, usage, trading, etc., will be borne by you. If you cause us any losses, we reserve the right to pursue legal action to hold you responsible for the losses caused to us.

7. Contact information in the domain registration details (such as email, phone number) is an important means of receiving domain notifications. Therefore, you should promptly change the domain information from the temporary information template to your own information to receive relevant notifications. Additionally, for domains registered using the temporary information template, we do not provide forwarding or re-notification services for notifications sent to the contact information in the temporary information template. Any losses resulting from this will not be our responsibility.

8. Domains using the temporary information template can only complete real-name verification through the "transfer" function we provide. Other functions such as trading, DNS resolution, and transfers can only be used after you have completed real-name verification.

9. You should understand and agree to abide by the above terms and must not circumvent, disrupt, or exploit any of our mechanisms or loopholes. Otherwise, we reserve the right to take legal action to hold you responsible for any losses caused to us or third parties.

10. You agree that before we receive your real-name information template, we may temporarily use the temporary information template. You must complete the creation and real-name verification of the real-name information template within 3 working days after payment. Before completing the real-name information template, you agree that we may temporarily freeze all domain management operations (including but not limited to: prohibiting DNS resolution, prohibiting transfers, prohibiting renewals, etc.).

11. The above agreements are implemented in accordance with current laws such as the "Cybersecurity Law of the People's Republic of China." Limiting the functionality of domains registered with the temporary information template is a necessary measure to comply with these laws. Both parties have the obligation to comply with the law, so you cannot request a refund due to restrictions on the functionality of domains registered with the temporary information template.

8) You understand and agree that applying for registration means you commit to complying with relevant national and regional laws, domain management institution norms, and regulations set by the competent authority.

- According to the laws of relevant countries and regions, domain management institution regulations, instructions from competent authorities, and the terms of this agreement, we have the right and obligation to take action against illegal activities during your use of the domain. Measures may include, but are not limited to: requiring the domain user to rectify within a specified period, suspending domain services (prohibiting DNS resolution, prohibiting information updates, prohibiting transfers between registrars, prohibiting renewals, prohibiting account transfers), deleting or canceling the domain.

- You guarantee that the domain you apply to register does not infringe upon our rights or any third party's legitimate rights, including but not limited to the name rights, trademark rights, and domain rights of others. If the applied-for domain infringes upon our rights or any third party's rights, you will bear all responsibilities. You commit to assuming all rights and obligations arising from the entire domain registration process.

- In accordance with the requirements of domain management institutions and competent authorities, we may conduct an initial review of your domain registration application and reject applications that do not comply with the relevant management regulations or legal provisions. However, this initial review does not include examining whether your applied-for domain infringes on others' rights or whether others' applied-for domains infringe on your rights; it also does not include taking responsibility for the authenticity, accuracy, and completeness of the registration information you provide.

6. Domain Renewal Service

1) Domain renewal service refers to: During the validity period of the domain, you apply for domain renewal through the procedures and channels we provide, submit relevant documents, and entrust us to submit the domain renewal application and pay the fees on your behalf to the corresponding domain registry. Renewal is considered successful only if the registry accepts the renewal application and extends the domain's validity period. The renewal result is subject to the confirmation of the registry.

2) If you wish to continue owning the domain and our services after the validity period expires, you should complete the renewal before the expiration date to ensure that we receive your valid renewal application and payment before the domain expires. Otherwise, it will result in you losing the domain ownership and the services you have enjoyed. If you fail to initiate a renewal application and pay the full amount before the domain's validity period expires, any resulting inability to continue holding the domain and associated responsibilities and losses will be borne by you.

3) You agree that if the registration information of the domain you hold is inaccurate, incomplete, or untruthful, or if you engage in illegal activities while using the domain services, we have the right to prohibit the renewal of the domain.

4) You understand and agree that the domain renewal application takes effect only after confirmation by the registry, so we do not guarantee that renewal will definitely be successful. Successfully paying the domain renewal fee does not mean the renewal is successful. Due to the automatic renewal mechanism of WHOIS (regardless of whether the domain holder renews, the domain will automatically extend for one year after expiration), the expiration date shown by WHOIS does not represent the renewal result.

5) We will send you renewal notices via email within a certain period before and after the domain's expiration, which will include details about the domain's expiration status and policy explanations. These notices are automatically sent by the system and may be affected by network conditions, the correctness of your email address, and your email settings, potentially resulting in some renewal notices not reaching you. We do not guarantee that you will receive all notices. You should monitor the expiration status of your domain independently. Your failure to receive, notice, read, or misunderstand our renewal notices cannot be used as a reason for failing to renew or pay on time.

6) You understand and agree that once you successfully renew the domain, the paid fees are non-refundable.

7) If the domain renewal is successful, the domain's expiration period will be extended according to the years you applied for and paid for. If the renewal fails, it represents a failed commission. Apart from refunding the renewal fees you paid for this commission, we do not bear any other responsibilities unless otherwise stipulated by law.

7. Expired Domain Renewal Service

1) You understand and agree that if you do not complete the renewal before the domain expires, you agree that we can renew the expired domain on your behalf. If we decide to renew the expired domain on your behalf, you will have the grace period we provide. Within this period, you can still renew at the normal renewal price. Since the domain has expired, during the grace period, apart from the right to renew, you no longer enjoy the various rights and related services during the original service period.

2) The renewal grace period is 0-30 days, varying by different TLDs. Users should complete the renewal before the domain expires. Under the premise of complying with ICANN policies, we have the right to formulate special domain grace period rules based on users' renewal rates, abuse rates, etc. For example, the same TLD may have different grace periods for different users; the same TLD may also have different grace periods at different times.

3) You understand and agree that whether the renewal is successful after expiration depends on relevant domain regulations, policies, and decisions made by the domain registry, and we do not guarantee that it will definitely be successful. According to Article 2.6, if you need to renew, it should be done before expiration. After expiration, you need to bear the risks and consequences of having domain filing canceled, renewal failure, needing to redeem the domain, or even losing the domain!

4) If you successfully renew within the grace period, the domain's validity period will be extended based on the original expiration date and the years you paid for. If you fail to renew successfully, apart from refunding the renewal fees we collected, we do not bear any other responsibilities unless otherwise stipulated by law.

5) You understand and agree that for expired domains, given that the service period has ended, except for the agreements in Articles 2.7.1 and 2.8.1, we no longer need to fulfill other obligations stipulated in this agreement. Therefore:

- You grant us an irrevocable authorization: once your domain expires, we have the option to either maintain the WHOIS registration information as it was before expiration or update the WHOIS registration information (including but not limited to the domain registrant). Additionally, we can choose to retain the expired domain in your account or transfer it to a dedicated account for unified management.

- For expired domains, in compliance with the regulations of domain management institutions, we will choose at some point to stop resolving the original webpage and redirect the domain indefinitely to an appropriate display page that clearly indicates the domain has expired and provides renewal instructions. We do not and cannot verify whether such redirection infringes on your legitimate rights (e.g., intellectual property, privacy, trademark rights), nor can we verify whether the displayed content is appropriate, complies with any national or regional laws, or damages your or a third party's reputation. Except for promptly terminating the redirection upon receiving a judicial order, we are not responsible for any direct or indirect losses arising from the redirection.

- After a domain expires, you have the right to renew or redeem the domain within the grace period and redemption period provided by us. Once these periods expire and you have not exercised your renewal or redemption rights, you forfeit all rights to the domain.

- You grant us an irrevocable authorization: if the domain expires and you do not renew it within the grace period, we have the right to dispose of the domain (including but not limited to opening for pre-release, auctioning, deleting, etc.) without additional notice. We are not responsible for this operation. Users have the right to redeem the domain during the redemption period but do not have the right to demand renewal at the original price or claim other losses from us.

8. Domain Redemption

1) We provide an expired domain redemption service. If you fail to renew the domain within the grace period, the domain will enter the redemption period after the grace period expires. You can apply to redeem the domain during this period. Since the domain has expired, you no longer enjoy the rights and services during the service period. During the redemption period, we only guarantee your right to apply for domain redemption.

2) In compliance with ICANN policies, we reserve the right to determine and adjust the specific duration of the grace period. The exact number of days for the grace period is not part of this agreement; please refer to our published or consulted results for the specific grace period for a particular domain.

3) You understand and agree that the success of domain redemption depends on relevant domain regulations and policies and the decision of the registry. We do not guarantee successful redemption.

4) If you successfully redeem the domain by paying the redemption fee, the domain's validity will be extended by one year from the original expiration date. If you pay the redemption fee during the redemption period but fail to redeem the domain, we will refund the corresponding redemption fee, but we are not responsible for any other losses except as expressly required by law.

5) Due to premium domains, registry cost adjustments, and expired domain auction results, redemption fees for different domains may vary. After receiving your redemption application, we will carefully determine the redemption fee for your domain and inform you. Please follow the fee standard we verify and inform you. Previous redemption records and redemption fees for similar domains do not serve as pricing standards for your application.

9. Domain Transfer Between Registrars Service

1) Domain transfer between registrars refers to the service where, during the valid service period, you submit relevant documents and entrust us to apply for and pay the fees for transferring the domain from another registrar to us or from us to another registrar through the procedures and channels we provide.

2) Domain transfer process: The domain holder obtains a transfer code from the current registrar (the outgoing party) and submits it to the new registrar (the incoming party). The incoming party submits the transfer code to the registry system for verification. After verification, the incoming party initiates the transfer request, and the domain can complete the transfer after the outgoing party agrees to release the domain.

3) You must ensure the legality and propriety of the domain transfer between registrars.

4) Based on the above description, whether the domain transfer is successful depends on multiple factors. Successfully submitting a transfer request to us or obtaining a transfer code from us does not guarantee a successful transfer. We do not guarantee that the domain will definitely be transferred successfully. The final transfer result is subject to confirmation by the incoming registrar. If the domain transfer fails, it is considered a failed transfer request. We will refund the domain transfer fee but are not responsible for any other liabilities except as expressly required by law.

5) You understand and agree that we have the right to approve or reject domain transfer requests based on national laws, regulations, policies of domain management institutions, and our registrar rules.

6) Domain holders may not apply for a change of registrar under the following circumstances:

- Within sixty days of domain registration;

- Less than fifteen days before the domain expiration date or if it has already expired;

- If the domain is in arrears for domain fees;

- If the identity of the domain holder is unclear or disputed;

- During litigation, arbitration, or domain dispute resolution;

- If the domain is legally required to stop resolving or is prohibited from resolving;

- Other situations specified by national laws, ICANN policies, or registry policies.

7) If you transfer a domain from another registrar to us, you must confirm and agree to all terms of this agreement before initiating the transfer. Initiating a transfer request signifies your agreement to the terms of this agreement. If you disagree with the terms, please stop submitting the transfer request or contact us to terminate the domain transfer.

10. Domain Information Modification Service

1) Domain information modification service allows you to submit relevant documents and entrust us to apply for changes to domain information on your behalf during the valid service period.

2) To comply with network real-name requirements, the new registrant information you submit must be true, accurate, and complete, with no misleading or false statements. Any consequences arising from inaccurate, incomplete, or false new registrant information will be borne by you. We reserve the right to refuse to process such domain information modification requests.

3) Changing domain registrant information does not equate to domain cancellation and will not result in refunds for any previously paid fees.

4) According to ICANN policies, after significant/substantive changes to domain information, we will offer users the option to set a 60-day lock. If a 60-day lock is set, the domain cannot be transferred between registrars during this period. Users (and both the original and new registrants) should understand that we may impose certain restrictions on exercising this option. If the goal is to transfer the domain to another registrar, we recommend canceling the 60-day lock to avoid transfer failure.

5) Users commit that their actions regarding domain information modifications will not place us in breach of contract or violate the law. Any disputes, controversies, losses, infringements, or breaches of contract arising from domain information modifications between users, original registrants, new registrants, and third parties will not hold us liable except as expressly required by law. Users further commit to compensating us for any losses caused by modifying domain information.

6) If a domain falls under one or more of the following conditions, we may take measures including but not limited to prohibiting domain information modifications, changing domain information to designated information, or adjusting domain information according to requirements from competent authorities or management institutions.

- The domain has expired;

- The domain has outstanding fees, disputes, arbitrations, litigation, or other abnormal conditions;

- According to notifications from authorized institutions or judicial authorities (including but not limited to government departments, regulatory bodies, judicial institutions, domain management institutions, etc.), restrictions on domain information modifications or requirements to change domain information to specified information.

- Other circumstances where垦派国际 (Kenpai Technology) has a legitimate reason to take action.

11. Domain Transfer Between Accounts Service (referred to as Domain PUSH)

1) Domain PUSH refers to the process where the account holding the domain initiates a transfer request, and upon agreement by the receiving account, the domain is transferred from the originating account to the receiving account. Alternatively, the receiving account can initiate the transfer request, which requires agreement from the originating account for the domain to be transferred.

2) Domain PUSH is an autonomous action between two users. When to transfer, to whom, what domain to transfer, and any associated fees are determined by both parties. Completion of the PUSH operation signifies user agreement with this transfer.

3) Both parties involved should be aware of potential financial risks associated with account transfers and must not use our domain PUSH service for illegal activities. Any resulting losses will be borne by the users.

4) To ensure security, we reserve the right to judge, restrict, revoke, or execute domain PUSH operations based on actual circumstances, laws and regulations, and requirements from competent authorities.

12. Initial Launch Domain Services

1) We may provide domain registration services for certain new top-level domains from the initial launch phase (including sunrise periods, landrush periods, etc.) according to agreements with the corresponding domain registries. You agree that for domain registrations during this period:

2) You must comply with the conditions and terms required by ICANN's rights protection mechanisms, including requirements from the Trademark Clearinghouse (TMCH) and any sunrise period dispute resolution policies.

3) You further agree that the domain registry or registrar shall not be liable for any losses or liabilities arising from procedures or processes during the sunrise or landrush periods, including: (a) whether you were able to register a domain during this period; and (b) any results from sunrise period domain disputes.

13. Other Domain Services

1) Domain services outside those specified in sections 3.4 to 3.9 are considered other domain services, including but not limited to domain trading (fixed-price domains, auctions, special auctions, domain brokerage), value-added services (domain parking, domain privacy protection, domain security lock, etc.).

2) If you wish to enjoy other domain services, you must understand and comply with the relevant service terms or instructions. We have the right to provide, refuse, or terminate such services based on specific service terms or instructions.

3) For clarity, we declare that these other domain services are not within the scope of this agreement. If there are special provisions or requirements for these services, you must read and agree to all service terms and usage instructions before accepting and using them. The execution, modification, or changes to these other domain services do not affect the terms and enforcement of this service agreement.

14. Service Fees and Payment

1) You understand and agree that to continue enjoying our services and retain your rights and privileges, you must pay the full amount of fees on time. If you fail to pay on time or in full, leading to inability to continue enjoying services, rights, and privileges, and any resulting derivative losses, you will bear the responsibility and consequences.

- Unless otherwise agreed, fees paid for successful domain registration, renewal, transfer, redemption, etc., are non-refundable, regardless of any changes, transfers, suspensions, deletions, etc.

- You should pay fees on time, such as renewing domain fees before the service validity period expires or paying redemption fees before the redemption period ends.

- You must pay the full amount of fees. Each domain registration, renewal, transfer, etc., will be subject to the fee standards at the time of payment. Due to the pricing autonomy of registries and Kenpai Technology, some domain registration and renewal prices under a top-level domain may differ from others and are subject to change, e.g., premium domain registration and renewal prices. The published service fees for certain top-level domains are for reference only; the final payment result or verified notification from us will determine the specific business fees.

- Kenpai Technology periodically offers promotional activities, such as discounts, free services, price reductions, etc., which may be implemented through price reductions, coupons, discount codes, etc. You agree and understand:

-- All free service projects or promotional activities are one-time special offers beyond normal service prices and do not include modifications, upgrades, updates, or maintenance of free services. Free services or promotions cannot be converted into cash or offset service prices.

-- Some promotional activities have prerequisites (e.g., membership status, service duration, total order amount) explained in activity rules. Kenpai Technology may update activity rules (including time, eligibility, discount content) based on activity effects. Please follow the latest activity rules.

-- You agree and understand that only if the prerequisites are met can you participate in promotional activities. If it is found that the prerequisites are not met, Kenpai Technology reserves the right to reclaim products or services involved in the promotion and refund any payments made (if applicable).

-- Since some activities are based on service duration and total order amount, if you terminate service before the service duration ends or receive a refund causing the total order amount to be insufficient, Kenpai Technology reserves the right to restore original pricing, invalidate coupons, or cancel discount code amounts to recover enjoyed discounts.

-- Some activities may have usage restrictions, such as prohibiting transactions within a certain period. If you need to remove these restrictions, you must make up for the discounted amount.

-- Unless otherwise explicitly agreed, multiple promotions cannot be used simultaneously.

- You can use a billing name and address different from the name and address provided in the registration data to pay us. However, the individual or entity paying for domain registration services does not represent ownership or control of the registered domain. When renewing or performing other operations, you should obtain the domain holder's consent. Your payment behavior on our platform is considered legal authorization from the domain holder, and you are responsible for your payment actions.

- If a domain is canceled or transferred due to violation of these terms, the fees you have paid will not be refunded.

2) We legally enjoy the right to set product and service prices:

- We reserve the right to adjust the fee standards for related products and services, including the right to cancel free services/products or charge fees for them.

- We have the authority to set different fee standards, promotions, and discounts based on our business needs and market conditions. Domain service fees are dynamically variable.

- The price standards displayed on our website for certain top-level domains do not equate to the specific price standard for a particular domain. The actual service price for a specific domain is determined by the final payment amount or the quote we provide after careful verification.

- You agree that any disputes arising from changes in fee standards will not hold us liable except as expressly required by law.

- Other reasonable rights related to pricing.

3) You understand and agree: You can voluntarily complete payments through the channels displayed on our payment page. By recharging, you agree to comply with our payment, withdrawal, and other fee usage rules. If you do not agree with these rules, do not recharge.

Section Three: User Conduct Guidelines

1. Before confirming this agreement and registering a domain, you should ensure:

1) That you meet the identity and qualification requirements for domain registration and use, and that accepting this agreement or registering a domain will not violate any previous agreements you have signed, nor place us in breach of contract or violate the law.

2) That you have read and agree to all contents of ICANN's Consensus Policies and Standards concerning registrant rights and responsibilities (www.icann.org./resources/registrars/raa/registrant-rights-responsibilities).

3) That you have read and fully understood all contents of this agreement, agree to pay the specified fees, and comply with all obligations you are responsible for.

4) If you are registering on behalf of a third party, you must ensure that the third party has understood and agreed to all obligations mentioned above. Additionally, if your registration information includes third-party information or usage, you must ensure that you have informed and obtained the third party's consent.

2. You commit that when registering a domain and using it for information dissemination and self-service, you will comply with all applicable laws, procedures, policies, and practices, including but not limited to:

1) All ICANN policies and regulations in effect at the time. In case of inconsistencies between these policies and this agreement, ICANN policies prevail, except where the registry allows registrars to set their own rules.

2) All applicable laws, regulations, management policies, and provisions (e.g., if you register and use a domain within China, you must comply with the "Internet Domain Name Management Measures" and complete real-name verification for domain holders).

3) If required by the relevant domain registry, you must also comply with laws related to privacy, data collection, and consumer protection (including misleading and deceptive behavior), fair lending, debt collection, organic agriculture (if applicable), data disclosure, financial regulations, and other relevant laws, regulations, administrative rules, and national policies. If you collect and store sensitive medical and financial data, you must also comply with applicable laws for providing such services and take reasonable security measures in this field.

3. You agree to comply with all registry policies, including:

1) Provisions of the Registry-ICANN Agreement and the Registry-Registrar Agreement;

2) Operating standards, policies, procedures, practices, and methods published periodically by the domain registry on its official website, applicable to all registrars or both registrars and domain holders.

3) In case of inconsistencies between registry policies and this agreement, registry policies prevail, except where the registry allows registrars to set their own rules.

4. You understand and agree to comply with applicable domain dispute resolution mechanisms and abide by relevant policies, procedures, and supplementary rules of ICANN, registries, and domain dispute resolution institutions.

1) For generic top-level domains (gTLDs), you must comply with UDRP policy; for new gTLDs, you must also adhere to URS rules.

2) For country-code top-level domains (ccTLDs), you must comply with the domain dispute resolution mechanism required by the relevant registry, e.g., for Chinese domestic domains, you must follow the "China Internet Network Information Center National Top-Level Domain Dispute Resolution Methods."

5. You understand and agree that the policy provisions in sections 3.1, 3.2, 3.3, and 3.4, along with this agreement and the domain registration application materials you submit, constitute the complete agreement between you and us regarding domain registration. Changes or modifications to domain policies will apply to domains you have already registered. Ignorance of policy changes cannot be used as a reason for non-compliance or breach.

6. You guarantee that you will not engage in any illegal activities related to domains, including:

1) Registering a domain will not infringe on any third party's rights, and the registration is not for malicious or illegal purposes. The use of the domain will not violate any laws and regulations.

2) You will not use the registered domain to create, copy, publish, or disseminate any harmful information prohibited by laws and regulations. You ensure that the domain will not be used to spread malware, operate botnets, conduct phishing, piracy, trademark or intellectual property infringement, fraud, deception, impersonation, send spam emails, or participate in other illegal activities.

3) The registration and direct or indirect use of the domain will not infringe on others' legitimate rights (e.g., name rights, trademark rights, domain rights).

4) Without permission from the domain registry, you may not provide secondary domain registration services to the public under your registered domain.

7. You understand and guarantee:

1) Even if you have granted a third party the right to use the domain, you remain the registered holder of the domain and are responsible for providing complete contact information and ensuring accurate technical and administrative contact details are provided and updated to resolve any issues related to the registered domain promptly.

2) You remain liable for any damages caused by improper use of the registered domain unless you disclose the current contact information and identity of the licensee (including through our registrar) to a complainant who provides reasonable evidence of harm within the time frame required by relevant laws or registrar/registry requirements.

3) If a third party makes a claim, lawsuit, or assertion regarding the domain or its use, you agree to indemnify and hold harmless Kenpai Technology and any relevant registry or registrar entities, directors, officers, general staff, and agents to the fullest extent permitted by law against any losses, damages, expenses, including reasonable attorney fees, resulting from such actions. If losses, damages, and expenses have occurred, you must compensate accordingly. This indemnification does not include any damages required by dispute resolution policies.

8. You understand and agree that failure to comply with any provision of Section 3 of this agreement will be considered a serious breach, leading to:

1) Our right to take actions including locking the domain (prohibiting modification of registration information, prohibiting transfers between registrars, prohibiting account transfers), suspending domain use (stopping DNS resolution), canceling the domain, transferring the domain, terminating services, and requiring you to compensate us for any losses caused by your breach of this service agreement.

2) Our obligation to cooperate with relevant departments in investigations and provide necessary materials (including but not limited to judicial authorities, arbitration bodies, infringement handling agencies).

3) Our failure to take action against your breach cannot be used as a reason for your breach or defense.

9. You acknowledge and agree that the relevant domain registry reserves the right to unilaterally decide to refuse, cancel, transfer any registrations, or place any domain in a locked, suspended (HOLD) state, or delete the registered domain, and notify us via EPP commands, email, or phone to execute such cancellation, transfer, change, or lock orders for the following reasons:

1) To protect the integrity and stability of the domain registration system;

2) To comply with any applicable laws, government rules or requirements, enforcement requests, or any dispute resolution procedures;

3) To comply with internet industry standards set by authoritative organizations (such as RFC) that the domain registry participates in;

4) To prevent the domain registry and its affiliates, subsidiaries, officers, directors, employees, and associated entities from incurring any civil or criminal liability;

5) To correct operational errors made by the domain registry or registrar during domain registration;

6) When fees have not been paid to the domain registry;

7) During dispute resolution periods.

10. You agree that we have the right, based on national laws, ICANN policies, instructions from competent authorities, or requirements from registries or our judgment (provided they do not violate the aforementioned laws and policies), to take measures including but not limited to restricting modification of registration information, restricting transfers, restricting deletions, suspending services (HOLD), deleting domains, transferring domains, or requiring users to make additional payments, in order to:

1) Handle disputes, complaints, and conflicts related to registered domains;

2) Protect overall security and stability of domain registration management.

3) Correct operational errors made by the registry or registrar during domain registration (including but not limited to releasing domains that should not have been released; charging standard domain prices for premium domains; discrepancies between service fees paid and domain registration costs exceeding five times).

4) If your domain is involved in judicial proceedings, arbitration, or domain dispute resolution procedures, and for 10 days after the decision is published (during this period, you may not apply for changes, transfers, or cancellations of disputed domains unless the transferee agrees in writing to be bound by judicial decisions, arbitration awards, or dispute resolution institution rulings).

11. We reserve the right to cancel (delete) a registered domain under the following circumstances:

1) You or your agent apply for cancellation of the domain;

2) The registration information provided is not true, accurate, complete, or has not been updated promptly after changes;

3) You fail to pay the required fees;

4) According to decisions, judgments, or rulings from domain management institutions, courts, or domain dispute resolution institutions;

5) Your registration and use of the domain adversely affect us, domain registration management institutions, and related service providers;

6) You violate the provisions of this agreement and other relevant laws and regulations.

12. You understand and agree that after successfully registering a domain with Kenpai Technology, you can download the domain certificate from the domain management page, but this certificate does not have legal validity as proof of domain ownership.

Section Four: User Information and Data

1. As part of domain services, users must provide specific information and update it promptly to ensure its timeliness, completeness, and accuracy. This information includes:

1) The applicant's detailed Chinese and English name, mailing address, email address, telephone number, and usable fax number;

2) The Chinese and English names of the contact person authorized by the organization, association, or company as the registrant;

3) The domain's DNS servers;

4) The corresponding names of these DNS servers;

5) The detailed name, mailing address, email address, telephone number, and usable fax number of the domain's technical contact;

6) Any records related to the domain that will appear in WHOIS data.

7) Users understand and accept that they must timely provide genuine and verifiable identity documents through our online domain management system as required by national and regulatory authorities to verify the authenticity of domain registration information. Failure to provide such documents within the deadline or providing inaccurate information may result in termination of domain services (including but not limited to stopping DNS resolution, canceling the domain), and any resulting losses will be borne by the user.

8) Providing inaccurate information intentionally or failing to update information in a timely manner will constitute a material breach of this agreement and may lead to the cancellation of the domain. If a domain holder licenses the domain to a third party, the domain holder remains the record holder and must provide all contact information and ensure accurate technical, administrative, and regional contact information is provided and updated. If we cannot receive a response regarding the registrant's detailed contact information within fifteen (15) days, it constitutes a material breach and grounds for domain cancellation. According to ICANN requirements, we will publish certain information provided during registration. Additionally, ICANN may impose mandatory standards, restrictions, or requirements on the amount or type of information we can or must disclose publicly or privately. Unless necessary for maintaining the domain, we will not disclose your information to any third parties. Domain holders can request a copy of the information we hold about them to review, modify, or update it.

9) If there are changes to the domain holder's information, updates must be submitted online through our domain management system within seven (7) days.

10) You guarantee that all domain information in Kenpai Technology's domain database is accurate and that third parties can contact you through this information. According to ICANN's WHOIS accuracy policy, if domain information is inaccurate and the domain manager fails to respond or refuses to correct it within fifteen (15) days, Kenpai Technology will HOLD the domain and has the right to delete it, with no refund of domain fees.

2. You understand that your personal information and data will be collected, used, shared, processed, and disclosed as follows, and you agree to and have no objections to such collection, use, sharing, processing, and disclosure:

1) We will collect domain-related registration information and all written and electronic communication records related to domain registration and/or management (e.g., initial registration date, expiration date, registrar identity) either directly or through our dealers, and share, use, and process this information as follows:

- According to ICANN regulations, domain registries and registrars must publicly disclose this information via WHOIS to provide free public query services for domain information. Therefore, we must share some or all of this domain registration information with domain registries, designated institutions or agents, and ICANN;

- Domain registries and their designated institutions or agents will collect, use, replicate, distribute, publish, modify, or otherwise process your personal information and data according to ICANN and national domain management institution policies for top-level domains, to provide free domain information directory services and conduct analysis and research;

- Domain registries and registrars (us) must periodically submit electronic versions of this information and data to third-party data custodians or submit electronic copies to ICANN as needed, such as specific domain holder registration information, for ICANN inspections, compliance queries, and audits;

- We will provide your information and data to Chinese domain management institutions and their designated entities to comply with national laws and regulations (e.g., for completing domain real-name verification, providing relevant information to domain verification institutions);

- We and our dealers, domain registries, and their designated institutions or agents may need to use this information and data to contact you and provide services;

- Sharing and using this information and data may involve cross-border data transmission (e.g., from China to the United States).

2) Except as agreed above, we will not use or disclose your information and data to any third parties without your prior consent, except:

- With your prior consent, disclosing to third parties;

- As required by law or administrative regulations;

- If your domain is suspected of illegal activities, and relevant administrative or judicial authorities, domain dispute resolution institutions, or third parties seeking to assert rights require us to disclose this information through proper procedures;

- When you are a party to a transaction created on our website, and the other party fulfills or partially fulfills the transaction obligations and requests disclosure of information, we have the right to provide your contact information to facilitate the completion of the transaction or resolve disputes.

3. We commit that for personal data collected from you as per Section 4.2, we will:

1) Take reasonable preventive measures to protect your personal data from loss, misuse, unauthorized access, disclosure, alteration, or destruction.

2) Not process the personal data collected from you in ways inconsistent with the purposes of notifying the domain holder as outlined in Section 5 and other restrictions.

Section Five: Disclaimer and Limitation of Liability

1. You acknowledge and agree:

1) To the fullest extent permitted by law, you will indemnify, defend, and hold harmless the domain registry and its designated institutions, subcontractors, us, and our respective directors, managers, employees, agents, and affiliates from any and all claims, damages, liabilities, costs, and expenses, including reasonable legal fees and costs arising from or related to your domain registration or use for any reason.

2) This indemnification obligation will survive the termination or expiration of this agreement.

2. You understand and agree that, except as expressly required by law, we are not liable for your losses in the following circumstances:

1) If we are unable to provide domain services due to force majeure or other unforeseen events, we are not liable. "Force majeure, unforeseen events" refer to objective events that cannot be foreseen, overcome, or avoided and have a significant impact on one or both parties, including natural disasters such as floods, fires, earthquakes, epidemics, and social events such as wars, riots, government actions, or telecommunications backbone interruptions.

2) Given the nature of the internet, hacker attacks, internet connectivity interruptions, system failures, or telecommunications department-caused connectivity interruptions that are not attributable to us shall not be our responsibility.

3. You understand and agree that if, due to our fault, your registered domain is lost, canceled, or stopped from resolving, resulting in your loss, our liability is capped at the total fees you have paid to Kenpai Technology for this service. If your service period exceeds 12 months, our maximum liability does not exceed the total fees you have paid to Kenpai Technology in the 12 months preceding the damage (for clarity, this fee refers to the actual cash payment you have made for the actual usage duration/quantity of the service, excluding prepaid but unused fees, coupons, etc.). In case of conflict or inconsistency with other agreements or Kenpai Technology service rules, this provision prevails.

1) We do not assume liability for your other direct or indirect losses, loss of business opportunities, profit loss, infringement, other intangible losses, or losses incurred based on contracts you have signed with others.

Section Six: Dispute and Controversy Resolution

1. Any disputes arising from this service agreement shall be resolved through friendly consultations between the parties.

2. If negotiations fail, both parties agree to submit the dispute to the People's Court of Wuhou District, Chengdu City and accept its litigation rules. The statute of limitations for filing a lawsuit is within one year from the date the dispute arises and within one year after the business expires.

3. The resolution of the above disputes shall be governed by the laws of the People's Republic of China.

4. If any third party's registered domain conflicts with your prior rights or if there is an instance of "domain squatting," you and the third party must resolve the issue through negotiation, legal means, or other methods. We shall not be held liable for such disputes.

5. If the domain you intend to register conflicts with another party's prior rights or involves "squatting on another party's domain," you and the third party must resolve the issue through negotiation, legal means, or other methods. You must ensure that we are not involved in any of these disputes.

Section Seven: Notifications and Delivery

1. You must ensure and maintain the authenticity and validity of your information. If your information is false or invalid, leading to situations where you cannot timely receive business notifications, customer service, complaint handling, dispute mediation, technical support, etc., you will bear the corresponding responsibility.

2. You should send notifications to Kenpai Technology based on the contact information published on our official website, unless otherwise agreed.

3. Kenpai Technology may periodically send business notifications, service reminders, verification messages, and marketing advertisements related to our services via web announcements, emails, SMS, system messages, instant messaging tools (such as WeChat, QQ), etc. These notifications may significantly impact your rights and obligations, so please pay attention to them promptly.

4. Notifications sent by Kenpai Technology via electronic means, including announcements, SMS to your provided phone number, emails to your provided email address, system messages to your account, and instant messages via software like WeChat or QQ, are considered delivered upon successful transmission. Written notifications sent via postal mail to the provided address are considered delivered on the fifth calendar day after posting.

5. Before the product expires, Kenpai Technology will endeavor to notify you about renewal via email, SMS, WeChat, etc. You acknowledge that failures due to system malfunctions, carrier blocking, etc., are not our responsibility. You should monitor the expiration dates of your products and decide whether to renew before the service expires.

Section Eight: Other Agreements

1. The invalidity of any provision does not affect the effectiveness of provisions concerning interpretation, breach of contract, and dispute resolution.

2. This service agreement has equal legal force as a written agreement signed by both parties, whether confirmed through online pages, acceptance of links and prompts on this page, signing a written agreement, or actual use of the service.

3. If any provision is determined to be invalid or unenforceable under applicable current law, all other provisions shall remain in effect.

4. Interpretation and understanding of the terms should be based on the purpose of the terms, the original meaning of the text, and industry practices. Titles should not influence the interpretation of the terms.

5. In case of inconsistencies or contradictions between terms or agreements previously signed by both parties or our previous statements, this service agreement shall prevail.

6. During the valid service period, if Kenpai Technology undergoes events such as listing, acquisition, merger with a third party, or name change, you agree that we can transfer our rights and/or obligations to the corresponding successor.

7. We reserve the right to modify the service terms when necessary. Once changes occur, they will be displayed on important pages of our website, WeChat, SMS, email, app, etc. If you disagree with the changes, you can contact Kenpai Technology to negotiate a solution, either continuing under the original terms until the service period ends or terminating the service early. If no agreement is reached, the original terms will apply until the end of the service period. If you continue using Kenpai Technology's services without contacting us, it is considered acceptance of the changes.

By reading and understanding the above domain service terms, you hereby confirm your willingness to enter the online domain registration/transfer/renewal/redemption or other subsequent processes, accepting all the terms.

If there are discrepancies between the service descriptions, price explanations, and order confirmation pages on the Kenpai Technology website (www.kenpai.net) and this service agreement, this service agreement shall prevail.
